Acceptance of Terms

By accessing and using the Sailhouse Software-as-a-Service (SaaS) platform, including our application dashboard, command-line interface (CLI), API, SDKs, and related services (collectively, the “Services”), you are agreeing to be bound by these Terms of Use, all applicable laws and regulations, and any other applicable policies, terms, and guidelines established by Sailhouse, a company incorporated in the United Kingdom. If you do not agree with any of these terms, you must not use the service.

You affirm that you are of legal age to enter into this agreement and have the authority to bind yourself or the entity you represent.

Pricing and Payment

Sailhouse operates on a subscription-based pricing model. The specific terms of your subscription, including fees, billing cycle, and payment methods, will be outlined in your Service Agreement. All fees are non-refundable, except as expressly provided in these Terms. All fees are exclusive of applicable taxes, which you are responsible for paying.

Overage Charges

If your usage exceeds the amounts prepaid under your subscription, you will incur overage charges at Sailhouse’s then-current rates, which will be billed in arrears. Overage charges are immediately due and payable upon billing and are subject to the same payment terms as your subscription fees.

Payment Failure

If you fail to make a payment when due, Sailhouse may suspend or terminate your access to the service. You will also be responsible for any late payment fees as specified by Sailhouse.

No Service Level Agreement (SLA)

Sailhouse does not offer a Service Level Agreement (SLA) at this time. The Services are provided on an “as is” and “as available” basis. Sailhouse makes no guarantees regarding uptime, availability, data loss, or functionality of the Services.

Limitation of Liability

In no event shall Sailhouse be liable for any indirect, consequential, special, punitive, or incidental damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Sailhouse has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose. Sailhouse is not liable for any damages resulting from data security breaches, except to the extent such breaches are caused by Sailhouse’s gross negligence.

Changes to Pricing

Sailhouse reserves the right to change its pricing terms for the Services at any time, provided that such changes will not take effect until your current subscription period ends and you renew your subscription. We will provide at least 30 days notice before any new pricing terms take effect. Notice will be provided via email or by posting the changes on our website.

API and SDKs

You are responsible for using the API/SDKs in compliance with these Terms. This includes adhering to rate limits and not engaging in prohibited activities such as reverse engineering.

You are responsible for securing your API keys and preventing unauthorized access to the service.

Sailhouse is not liable for any damages resulting from the incorrect use or misuse of these tools.

CLI and Application Dashboard

The CLI and Application Dashboard are tools provided by Sailhouse to enhance your user experience. They may collect data regarding your usage, errors, and performance for the purpose of improving our services. All data collection will adhere to our Privacy Policy. By using these tools, you consent to this data collection.

License Grant

Subject to your compliance with these Terms of Use, Sailhouse grants you a non-exclusive, non-transferable, revocable license to use the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Sailhouse, in the manner permitted by these Terms.

Intellectual Property

The Services and its original content, features, functionality, API, SDKs, CLI, application dashboard, and related components are and will remain the exclusive property of Sailhouse and its licensors. The Services are protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries.

If you upload or create content using Sailhouse, you grant Sailhouse a non-exclusive license to use such content for the purpose of providing the service.

Prohibited Uses

You agree not to use the service for any illegal or unauthorized purpose, including but not limited to:

Termination

Sailhouse reserves the right, without notice and in its sole discretion, to terminate your license to use the Services, and to block or prevent your future access to, and use of, the Services.

  1. Termination for Cause:
    • Sailhouse may terminate your access to the service at any time without notice if you breach these Terms or engage in illegal activities.
  2. Data Retention:
    • Upon termination, Sailhouse will retain your data for a period of 30 days to allow for data retrieval, after which it will be deleted unless otherwise required by law.

Changes to Terms

Sailhouse reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the United Kingdom.
